Club Articles of AssociationARTICLE I - The name of this association is "St. Louis Flying Club" and is a benevolent corporation under the laws of the State of Missouri. This association will be hereinafter referred to as the "club". ARTICLE II - The sole and principal objective is to enable the club, as a non-profit association, for the benefit, education and the enjoyment of its members, to become proficient pilots, at a minimum cost. ARTICLE III - The officers shall be: President, Vice-President, Treasurer, Secretary, and Maintenance Officer, who shall hold office for a 1 year term. All officers serve without compensation. Section 1 - The President shall be the Chief Executive Officer of the club and shall sign, in the name of the club, all contracts, certificates, notes, or other documents affecting the business of or in any way binding upon the club. He shall coordinate the activities of the club and promote the general welfare of the club. Section 2 - In the absence of the President, the Vice-President shall assume the duties of the President. The Vice-President shall he responsible for providing the membership with a current roster of all members, offices held, addresses, and telephone numbers, He is also responsible for managing the insurance for the club members by obtaining the most cost effective policy, maintaining member flight time records for obtaining quotes, and distributing the insurance policy limits to club members. Section 3 - The Treasurer shall be charged with the handling of all moneys of the club, collections, and disbursements of such moneys under the authority granted him by the membership and the responsibility for all records in connection with these duties. He shall prepare a Treasurer's Report each month for distribution to the membership. This report shall contain individual member indebtedness, club assets, and liabilities and current share worth, as minimum information. Section 4 - The Secretary shall be charged with arranging club meetings; location, date, time, and notifying club members. He shall keep the minutes of all club meetings and distribute them to the members. The Secretary shall also be the keeper of the club seal and issue club membership certificates to new members. Section 5 - The Maintenance Officer shall be responsible for the scheduling of aircraft maintenance and charged with keeping the club's maintenance equipment, maintenance records, and notifying the members of maintenance requirements. When the aircraft is down for maintenance, he shall directly notify all affected members currently on the schedule, and shall notify the remaining members via an indication on the schedule or email, including an estimated downtime. ARTICLE IV - Membership in the club is limited to sixteen (16) members. New members must be Private Pilots with a minimum of 100 hours. New members may be admitted only with the approval of two/thirds of all members in good standing. ARTICLE V - Relinquishment of membership can be made by a member only upon the sale of his membership share to a person under the terms of Article IV, or upon four/fifths of all members, in good standing, to dissolve the club. ARTICLE VI - Any changes in the articles of association by-laws can be made upon approval of four/fifths of all members in good standing. By-Laws A. All property purchased in the name of the club shall be owned by the club. B. All flying shall be done in strict observance of existing FAA regulations and all field rules into which the airplane is operated. C. Any business to be conducted shall be brought to the attention of the club by the President. D. In addition to the original payment, each member shall pay an amount determined by the treasurer and approved by the president per wet hour (tach time) for every hour, or part of, of airplane use. Each member also pays for his share of the monthly fixed expenses (e.g. tiedown/hangar, insurance, and personal property tax). E. In the event of accident due to negligence, the member in possession of the airplane, at the time, is solely responsible for the damages and for full payment of any insurance deductible, Negligence shall be determined by a majority of the current members. F. In the event of normal parts replacement and/or maintenance the cost shall be born by the club. The amount shall be taken from the treasury. If the treasury is insufficient to cover the cost, then each member will share proportionally in the difference. G. No one other than the members and people specifically covered by the insurance policy (e.g. Maintenance personnel) may fly the airplane. H. Failure of any member to pay his use expenses or his share of other expenses, for thirty days after such expenses come due, would remove the availability of the airplane from the delinquent members use. If the delinquency persists at the end of six months, the member shall forfeit his membership. After disposal of his share, the obligations would be satisfied and any remaining balance would be returned to the disposed member. Any individual share disposed of in this manner would be valued at the proportional share of the whole. I. All flights are to be scheduled through the scheduling method established by the Club. No member may schedule for more than 7 consecutive days or 4 weekend days in one calendar month without obtaining verbal or email approval of all members. Members should update the aircraft schedule as soon as practical to show cancellation of scheduled usage. J. A member operating the aircraft away from the home airport is responsible for the return of the aircraft to the home airport within the scheduled time. If for any reason, the aircraft is abandoned by a member at a site, other than the home airport, that member is responsible for all costs incurred for its return. K. All flight times, dates and maintenance actions/issues (e.g. Oil added, landing light inop) will be entered into the flight time log and signed by the member in possession after each flight.
